Intelligize is proud to announce the newest in a series of product enhancements designed to make research simpler, faster and smarter. If you have ever had to retrieve a major filing, including its exhibits, and had your heart sink when you saw how many of those exhibits are incorporated by reference, then this enhancement is for you!

Approximately 75% of all exhibits in SEC filings are incorporated by reference to another filing. Intelligize now offers the ability to link directly to these documents. Simply click on the exhibits button on the document view screen and instantly see the exhibits that have been filed with the document and the exhibits that are incorporated by reference. We have started with the major filing-types (such as Forms 10-K, 10-Q and S-1) and over half of the incorporated exhibits are now linked and retrievable. We will be expanding our coverage to all documents in the coming months.

Many options are available to navigate around the documents. Click on the document link to view the exhibit or check the boxes beside each document link to download, print or save it. It’s that easy.

Intelligize is the only SEC Research Tool that provides this functionality!

What we do

We gather these memos daily from each site, then index them to allow for full-text searching across all content (not just headings), display snippets of the content to include the search terms and, finally, provide quick links to the original memo hosted on the respective law firm’s website.

NEW YORK, Jan. 11, 2011 /PRNewswire/ — When preparing SEC filings in the current economic climate, legal and accounting professionals must deal with two often conflicting constraints: (1) greater pressures on cost efficiency and (2) dealing with more onerous regulatory requirements and stepped up SEC staff review. To meet both challenges requires new technology, that enhances both the quality of public company disclosure and workflow productivity.

Intelligize recently introduced the SEC Checker to revolutionize the preparation, analysis and review of SEC filings. This easy-to-use product allows for more granular searches (down to the section level), detailed company/insider information and smart comparison tools across different filings. The SEC Checker is geared toward both practitioners and research specialists.

“Lawyers and financial professionals are under increasing pressure to provide timely and accurate information to the SEC,” noted Gurinder Sangha, President of Intelligize. “The Intelligize applications have dramatically improved the speed by which companies compile SEC disclosure.”

In addition, Intelligize has released new versions of their market-leading Comment Checker and Precedent Checker products. These next generation SEC research tools are unique in that they apply metrics and trending data to specific disclosure items and comment/response threading to SEC staff correspondence via a unique, intuitive platform.

“Intelligize’s applications are powerful yet easy-to-use,” said Michael Rave, a partner with broad experience in Exchange Act compliance at Day Pitney LLP. “Their tools give our firm an advantage in crafting timely and accurate responses to SEC correspondence on behalf of our clients.”

Intelligize Publishes 2010 SEC Comment Letters – Count of Staff Reviews by Industry through November 2010

Through the use Intelligize’s Comment Checker, the Intelligize team has published the count of SEC Staff Review Comment Letters by industry (AD Office).

As background, the Securities Exchange Committee’s Division of Corporation Finance selectively reviews filings made under the Securities Act of 1933 and the Securities Exchange Act of 1934 through its eleven Assistant Director Offices. The SEC staff provides comments on topics specific to these industries such as consumer and industrial products, energy and resources, financial services, health sciences, and technology and telecommunications. The published Comment Letters provide tremendous value for financial companies, public companies, auditors and attorneys, who are using these for future guidance for their company’s own financial reporting and auditing.
Using Intelligize’s Comment Checker, one can determine the total number of SEC Comment Letters released by SEC AD Office, by industry, by filing type, by year of disclosure and by release date. The Chart below shows a list of released SEC Staff Review Comment Letters for 2010 filings by SEC AD Office.

In comparing the SEC Comment Letters released for 2009 filings to those in the chart below, the percentages of letters released by AD Office as a percentage of the total remain relatively consistent from one year to the next. The largest increase of SEC Comment letters released by AD Office came from the Real Estate and Business Services sector (AD Office 8 ) with a 2.0% increase as compared to 2009. Conversely, the Financial Services Industry sector (AD Office 7) had the largest decrease with a drop of 2.1%.

Phil Brown has joined the Intelligize team as a strategic advisor

We are very pleased to announce that Phil Brown has joined the Intelligize team as a strategic advisor. Phil brings extensive knowledge of SEC filings, processes and regulatory framework. A pioneer in the development of electronic document retrieval, Phil will be providing Intelligize with strategic guidance on product development and further enhance our customer focus.

Phil is the former CEO and co-founder of Global Securities Information (GSI). Under Phil’s leadership, GSI introduced Livedgar which became the leading SEC research platform in the marketplace. GSI was acquired by Thomson Reuters in July of 2005. Phil has over 20 years of experience in the legal and business information industry and has written two books on SEC Research. He has won numerous awards for entrepreneurship and product innovation.

When asked why he chose to join the Intelligize team, Phil stated “I thought innovation in SEC Research was stagnant. But the stuff Intelligize is doing is unique and really exciting”.

Welcome Phil!
